Terms of Service

1. The service
Stratum Industries sells license keys for MEMAR, equipment fleet-monitoring software that you run entirely on your own hardware. We do not host or operate MEMAR for you — there is no Stratum cloud in the loop. What we operate is the billing and license-issuing infrastructure: Stripe handles payment, and a small worker signs and delivers your license key when a subscription or air-gap order is fulfilled. That's the extent of the "service" — your MEMAR instance, your data, and your machines stay on your network.
2. License grant
The MEMAR codebase is open source under the GNU Affero General Public License v3.0 (AGPL-3.0) — anyone can self-host it free, for up to 5 devices, forever, with no purchase required. That grant doesn't change based on whether you pay us anything. If you modify MEMAR and run the modified version as a network service other people use, the AGPL requires you to make that modified source available to them — this doesn't affect ordinary self-hosted use of an unmodified install monitoring your own equipment.
What you're actually buying at Maker, Pro, Farm, Scale, Workshop, Business, Enterprise, or Air-Gap tier is a signed license key that raises your device-count limit above the free tier. The key is verified locally by your own MEMAR instance (Ed25519 signature against an embedded public key) — no activation server, no phone-home required to run it. License keys are issued to your account or organization and are not transferable to a different customer.
3. Billing
Maker through Scale and Workshop through Enterprise are Stripe subscriptions, billed monthly or annually depending on what you select at checkout. Subscriptions renew automatically at the then-current price until you cancel — we don't auto-upgrade you to a different tier or silently change your price. Air-Gap Standard and Air-Gap Enterprise are billed monthly through Stripe under a 12-month minimum commitment and auto-renew annually; because air-gap instances make zero outbound calls, license keys are time-boxed (12 months) and delivered as a file for manual, offline installation rather than auto-refreshed over the network. OEM licensing is negotiated per contract and invoiced annually outside Stripe's standard subscription flow.
4. Cancellation & refunds
Cancel any subscription at any time from the Stripe customer portal or by emailing us — cancellation takes effect at the end of your current billing period, and you keep your device-count entitlement through the end of that period. First-time subscribers get a 14-day money-back guarantee: email us within 14 days of your first charge for a full refund, no questions asked. We don't refund renewal charges after that window, or partial months on a canceled subscription. Air-gap orders follow the same 14-day guarantee from the initial charge; once a license key has been issued and installed past that window, the order is non-refundable for the remainder of the term. OEM refund terms are whatever's in the signed agreement.
5. No warranty / limitation of liability
MEMAR is provided "as is," without warranty of any kind. You are running this software on your own hardware to monitor — and in some configurations, to send commands to — your own CNC machines, 3D printers, and other equipment, including pause, resume, cancel, jog, and emergency-stop actions where your configured adapter supports them. Stratum Industries is not liable for equipment damage, injury, lost work, downtime, or data loss arising from your use, misconfiguration, or misuse of MEMAR, including from commands the software sends to connected machines. You are responsible for verifying that MEMAR's behavior is safe for your specific equipment and workflow before relying on it, and for whatever physical and electrical safeguards your shop requires independent of this software.
6. Acceptable use
Use MEMAR to monitor and control equipment you own or are authorized to operate. You may not resell, sublicense, or redistribute a paid license key, or embed/rebrand MEMAR as part of a product you sell to others, without an OEM License agreement. You may not attempt to bypass, forge, or reverse-engineer the license verification mechanism to unlock a device limit you haven't paid for. None of this restricts what you can do with the underlying AGPL-3.0-licensed source code itself — fork it, modify it, self-host it free under the 5-device cap — only the paid license key and the Stratum name/brand are restricted. Note that the AGPL itself already requires anyone offering a modified version as a network service to release their modifications, which is a separate, license-level protection independent of this paid-key restriction.
7. Governing law & contact
These terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions. Disputes will be resolved by binding arbitration under AAA rules, except for injunctive relief, which may be sought in any court of competent jurisdiction. 8. Changes to these terms
We may update these terms as the product and pricing evolve. Material changes will be reflected by an updated effective date on this page; continued use of a paid license after a change constitutes acceptance of the revised terms.
